1. Acceptance of Terms

By accessing or using the Ora Et Labora Business Community ("OELBC", "the Portal", "we", "us", or "our") website and services, you ("Member", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

Your use of the Portal constitutes acceptance of these Terms and creates a binding legal agreement between you and OELBC.

2. Membership and Community Guidelines

2.1 Membership Eligibility

Membership is open to business professionals who agree to abide by our community values and these Terms. OELBC reserves the right to approve or reject membership applications at our sole discretion.

Members agree to:

By joining OELBC, you expressly consent to having your profile information visible to other approved members within the Portal. This includes but is not limited to:

• Professional background and expertise
• Posts, announcements, and contributions to the community

3.2 Confidentiality Obligations

All members agree to maintain strict confidentiality regarding member information. Specifically, you agree:

• NOT to share, distribute, or disclose any member's personal or business information outside of the OELBC community without explicit written permission from the member(s) involved
• NOT to use member information for purposes other than legitimate business networking within the OELBC community
• NOT to scrape, harvest, or systematically collect member data
• To immediately report any unauthorized disclosure or breach of confidentiality

3.3 Consequences of Breach

Violation of these confidentiality obligations may result in immediate termination of membership and potential legal action.

4. Intellectual Property

Content posted by members remains the property of the respective members. By posting content on the Portal, you grant OELBC a non-exclusive, royalty-free license to use, display, and distribute such content within the Portal for the purpose of operating our services.

You agree not to post content that infringes on the intellectual property rights of others.

5. Disclaimers and Limitation of Liability

5.1 Service Disclaimer

THE PORTAL AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. OELBC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

5.2 Content Disclaimer

OELBC does not endorse, verify, or guarantee the accuracy, completeness, or reliability of any member-generated content, business dealings, or interactions between members.

5.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OELBC, ITS ADMINISTRATORS, TEAM MEMBERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

6. Indemnification

You agree to indemnify, defend, and hold harmless OELBC, its administrators, team members, affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

• Your use of and access to the Portal
• Your violation of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any business dealings or interactions you have with other members
• Any content you post or share on the Portal
• Your breach of confidentiality obligations

7. Account Security and Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Immediately notify us of any unauthorized use of your account
• Not share your account credentials with others
• Accept responsibility for all activities that occur under your account

8. Termination

OELBC reserves the right to terminate or suspend your account and access to the Portal at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to:

• Violation of these Terms
• Breach of confidentiality
• Inappropriate behavior or conduct
• Fraudulent or illegal activities

Upon termination, your right to use the Portal will immediately cease, and you must continue to maintain the confidentiality of any member information you obtained while a member.

9. Dispute Resolution

Any disputes arising out of or relating to these Terms or your use of the Portal shall be resolved through the following process:

1. First, through good faith negotiations between the parties
2. If unresolved, through mediation administered by the Singapore Mediation Centre
3. If still unresolved, through arbitration under the rules of the Singapore International Arbitration Centre

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

11. Modifications to Terms

OELBC reserves the right to modify these Terms at any time. We will notify members of any material changes via email or through the Portal. Your continued use of the Portal after such modifications constitutes acceptance of the updated Terms.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
